Darrois Villey Maillot Brochier advises Groupe Marc de Lacharrière and Fimalac on the tender offer targeting the shares of Fimalac

Darrois Villey Maillot Brochier advises Fimalac and Groupe Marc de Lacharrière on the simplified tender offer initiated by Groupe Marc de Lacharrière on Fimalac shares which it does not already hold alone or in concert, and which would be followed by a possible squeeze-out.

The offer is made for a maximum number of shares representing up to 5.9% of Fimalac’s share capital, for a maximum amount of approximately €191 million. The offer, which was cleared by the Autorité des marchés financiers on 20 June 2017, will be open from 22 June to 5 July 2017.

BNP Paribas, Crédit Agricole Corporate and Investment Bank and Société Générale are acting as presenting banks and the firm Associés en Finance acted as independent expert for Fimalac.

The DVMB team includes Emmanuel Brochier, Laurent Gautier and Hadrien Bourrellis. DVMB is the sole legal counsel on the transaction.
