Darrois Villey Maillot Brochier advises Baccarat in connection with a proposed tender offer (“offre publique d’achat simplifiée”) on its shares launched by Fortune Legend Limited

Darrois Villey Maillot Brochier advised Baccarat S.A. and the ad hoc committee established by its board of directors, in connection with the contemplated acquisition by the company’s existing controlling shareholder, Fortune Legend Limited, of the Baccarat share which it does not already own, through the filing of a draft tender offer (“offre publique d’achat simplifiée”) followed by a squeeze-out.

Until the recent reorganization of its board of directors, Baccarat had been managed by provisional administrators in connection with the takeover of Fortune Legend Limited by its former creditors (led by Tor Investment Management).

The Darrois Villey Maillot Brochier team is led by Laurent Gautier (partner) and includes Hadrien Bourrellis and Catherine Ambos on corporate and M&A aspects.
