Darrois Villey Maillot Brochier advises Groupe BPCE in the context of the planned transfer to BPCE of Natixis’ Insurance and Payment businesses

Darrois Villey Maillot Brochier advises Groupe BPCE in the context of the planned evolution of its organisation through the transfer to BPCE of Natixis’ Insurance and Payment businesses.

Following BPCE’s successful public tender offer on Natixis’ shares followed by a mandatory squeeze-out, this project aims to enhance the development of all Groupe BPCE’s businesses by providing them with the means to increase their strategic flexibility, accelerate their development to the benefit of their customers and their performance, by simplifying its organisation.

The completion of this transaction is subject to the obtention of the necessary regulatory authorisations and could occur towards the first quarter of 2022.

The Darrois Villey Maillot Brochier team is led by Emmanuel Brochier, Bertrand Cardi and Laurent Gautier (partners) and includes Frederic Chevalier and Léonor Boulanger on corporate and M&A aspects, together with Henri Savoie (partner), Jean-Baptiste Aubert (counsel) and Guillaume Griffart advising on regulatory aspects and with Vincent Agulhon (partner) and Sophie Pagès advising on tax law aspects.
