Darrois Villey Maillot Brochier advises Tarkett in connection with a proposed tender offer (“offre publique d’achat simplifiée”) on its shares launched by the Deconinck family with Wendel

Darrois Villey Maillot Brochier advises Tarkett S.A. and the ad hoc committee established by its supervisory board in connection with the contemplated acquisition by the company’s existing controlling shareholder, the Deconinck family, of the 49.2% of Tarkett’s share capital which it does not already own, through the filing of a draft tender offer (“offre publique d’achat simplifiée”) potentially followed by a mandatory squeeze-out.

In the context of this transaction, Wendel will invest as minority shareholder in Tarkett Participation, a company controlled by the Deconinck family and set up to hold their Tarkett shares and launch the tender offer.
