Paris, 14 March 2022

Darrois Villey Maillot Brochier advises Umanis and its controlling shareholders Mura, Laurent Piepszownik and Olivier Pouligny in the context of exclusive negotiations with a view to the acquisition by CGI, through its subsidiary CGI France SAS, of all of the Umanis shares held by Mura (controlled by Laurent Piepszownik) and by Olivier Pouligny, representing c. 70.6% of the share capital of Umanis. The transaction would be followed by a tender offer on the remaining shares at the same price.

The completion of this transaction would be subject, in particular, to the authorization of the competent authorities and the recommendation of the tender offer by Umanis’ board of directors.

The team, was led by Olivier Huyghues Despointes (partner), included Thibault Verron and Victor Maujean on M&A aspects, Guillaume Aubron (partner) and Thomas Servières on competition law aspects, Patrick Mèle (counsel) on public law aspects, Loic Védie (partner) and Pierre Dabin on tax law aspects.

The law firm Capstan advises Umanis on employment law aspects.

CGI is advised by Bredin Prat.

LFPI and Amundi (also shareholders of Mura) are advised by Gide.
