Darrois Villey Maillot Brochier advises Gemalto NV on its acquisition by Thales S.A.

Darrois Villey Maillot Brochier is the lead legal advisor of Gemalto NV on its acquisition by Thales S.A., creating a world leader in digital security. The transaction, which will take the form of a recommended tender offer on all Gemalto shares, values Gemalto at approximately 4.8 billion Euros and is subject to customary conditions.

The DVMB team includes Bertrand Cardi, Ben Burman, Olivier Huyghues Despointes and Forrest Alogna (partners) and Martin Lodéon (associate) on corporate and M&A aspects.

Gemalto is also advised by Allen & Overy on Dutch law aspects, as well as Norton Rose Fulbright on competition aspects and Wilson Sonsini Goodrich & Rosati on U.S. regulatory aspects.
