Darrois Villey Maillot Brochier advises Europcar Mobility Group in connection with a proposed public tender offer for its shares to be launched by a consortium led by Volkswagen

Darrois Villey Maillot Brochier advises Europcar Mobility Group and its board of directors in connection with a proposed public tender offer (“offre publique d’achat”) on its shares to be launched by a consortium composed of Volkswagen Group, Attestor Limited and Pon Holdings BV.

In this context, Europcar Mobility Group entered into a tender offer support agreement with the members of the consortium setting out the terms and conditions of the proposed combination.

The Darrois Villey Maillot Brochier team is led by Bertrand Cardi and Laurent Gautier (partners) and includes Hadrien Bourrellis, Thibault Verron and Catherine Ambos on corporate and M&A aspects.

Clifford Chance and AyacheSalama also advise Europcar Mobility Group, respectively, on antitrust and labor law aspects.

Volkswagen and the consortium are advised by Freshfields Bruckhaus Deringer while Attestor is advised by Cleary Gottlieb Steen & Hamilton.

Latham & Watkins, White & Case and Willkie Farr & Gallagher each respectively advised certain shareholders of Europcar Mobility Group who entered into undertaking to tender their shares to the tender offer.
